By accessing or using CoachSmartly, you agree to these Terms and our Privacy Policy. If you use the service for a school or district, you represent that you are authorized to bind that organization.

CoachSmartly is an AI-assisted coaching platform for educators that supports uploading classroom recordings, generating transcripts, producing coaching reports, and tracking growth metrics.

The service is intended for adult users (for example, teachers, coaches, administrators, and authorized school staff).

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate account information and keep it up to date.
• You are responsible for activity that occurs under your account.
• You must promptly notify support@coachsmartly.com of unauthorized access or suspected security incidents.

You agree not to upload or submit content that is unlawful, infringing, abusive, or deceptive.

You are solely responsible for obtaining all required permissions, notices, and consents for classroom recordings or other uploaded content, including any required school/district approvals and parent/guardian permissions where applicable.

You retain ownership of your uploaded videos, transcripts, and related content.

You grant Coach Smartly, LLC a limited license to host, store, reproduce, process, transcribe, analyze, and generate reports from your content solely to provide, secure, and improve the service consistent with our agreements and privacy commitments.

AI-generated outputs may contain errors, omissions, or bias. Outputs are advisory and should be reviewed by educators before use in performance evaluation or instructional decisions.

The service is not legal, medical, mental health, or other regulated professional advice. See AI and Model Use Disclosure for details.

If you purchase usage credits or other paid access made available in the service, pricing and billing terms shown at checkout or in your order flow apply. You are responsible for applicable taxes unless otherwise stated.

Credits, if offered, may expire or be adjusted according to the plan terms shown in product flows. Refunds or service credits are handled under applicable policies and law.

CoachSmartly software, interfaces, and platform content (excluding user content) are owned by Coach Smartly, LLC and protected by intellectual property laws. These Terms grant a limited, revocable, non-exclusive right to use the service.

We may suspend or terminate access for violations of these Terms, security concerns, non-payment, or legal requirements. You may stop using the service at any time.

Data handling after termination follows the Privacy Policy and, where applicable, organization-level contractual data processing terms.

The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. Coach Smartly, LLC disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Coach Smartly, LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of data, revenues, or profits. Aggregate liability is limited to amounts paid by you for the service in the [12 months] before the event giving rise to the claim.

You agree to indemnify and hold harmless Coach Smartly, LLC and its officers, directors, employees, and agents from third-party claims arising from your content, your misuse of the service, or your violation of these Terms or applicable law.

These Terms are governed by the laws of [Governing State], excluding conflict-of-law principles. Venue for disputes will be in the state or federal courts located in [Governing County, Governing State], unless otherwise required by law.
